User Accounts and Responsibilities

To use the Platform, you must create an account. When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Votonic reserves the right to suspend or terminate your account at any time for any reason, including if we reasonably believe that you have violated these Terms.

Prohibited Conduct and Content

You agree not to use the Platform for any unlawful or abusive purpose. This includes, but is not limited to, engaging in any activity that is illegal, threatening, harassing, defamatory, or invasive of others' privacy. You also agree not to post, upload, or transmit any content that infringes on any intellectual property rights, contains viruses or malware, or is otherwise harmful or objectionable. Votonic reserves the right to remove any content that violates these Terms or that we deem inappropriate for any reason.

Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Votonic, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without prior written consent from Votonic.

Termination and Suspension

We reserve the right to suspend or terminate your access to the Platform at any time for any reason, including if we reasonably believe that you have violated these Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Limitation of Liability

The Platform is provided on an "as-is" and "as available" basis. Votonic makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. You expressly agree that your use of the Platform is at your sole risk. To the full extent permissible by applicable law, Votonic disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Votonic does not warrant that the Platform, its servers, or email sent from Votonic are free of viruses or other harmful components.

In no event shall Votonic, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Platform, any websites linked to it, any content on the Platform or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Governing Law and Dispute Resolution

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of [Your State], without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in [Your City], [Your State], using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Arbitration Rules and Procedures of JAMS.

Changes to Terms and Conditions

Votonic reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.
